TERMS AND CONDITIONS

THE FOLLOWING ARE NOT ELIGIBLE TO PARTICIPATE:

1. Websites without individual content pages. This includes stores, and product-based websites.

2. Adult websites, or websites with excessive adult material.

3. Websites promoting and/or distributing illegal material (warez, mp3s, etc.)

TERMS AND CONDITIONS

You hereby agree to the terms outlined below:

1. General Content: You may only submit individual pieces of content. Each submitted page must be a single funny picture, funny joke, flash cartoon, flash game, etc. Index and/or directory pages, or pages solely existing to promote a product are not allowed.

2. Ownership: You may not submit pages from sites not under your ownership (i.e. no affiliate links, no impersonation).

3. Page Titles: You may not use exclamation marks in your Laughswap Page Titles. You may not use full capitalization in your Laughswap Page Titles. You may not use inappropriate language in your Laughswap Page Titles. Titles must be 30 characters or less. Titles may be edited for content by the staff.

4. Language: Only English language websites will be allowed. If your web site is in another language it will be removed from our network.

5. Pop-ups/unders: You may not submit any pages that have more than one pop-up or pop-under ad console, and one pop-up or pop-under subscribe box on the landing page of any fun pages you promote through LaughSwap. Pages with adware and spyware popups or popunders are also not allowed.

6. Obscenities: You may not submit any pages containing vulgar or obscene content, obscene links, or anything that would be offensive to minors. All pages are reviewed by LaughSwap staff, and our decision is final and non-negotiable.

7. Incentivization: You may not request or suggest that users need to click on LaughSwap links. All clicks must be non-incentivized.

8. Impersonation: You may not attempt to impersonate another LaughSwap Partner. You may not attempt to edit, delete, or otherwise tamper with LaughSwap linking mechanisms or algorithms. If such malicious activity is detected, LaughSwap.com reserves the right to terminate the offending account. The offending account will forfeit ALL LaughSwap credits.

9. ANTI-SPAM: You will not use unsolicited bulk e-mail to promote LaughSwap.

10. Alteration: You will use the proper link coding provided by LaughSwap, and may not alter it for functionality. You may, however, alter the code for appearance only.

11. Legal Permission: You assume all liability for your page submissions. You hereby agree that you have legal permission to use any content you submit, including but not limited to: graphics, music, text, and animations.

12. Non-Liability: We will not be liable for any indirect or consequential damages arising in connection with this service. This service is provided as-is with no warranty.

13. Inactivity: Inactive accounts will be terminated after 270 days. If a website clearly is not appropriate for LaughSwap, the webmaster will not be notified in this event.

14. Cash Redemption: Credits have no cash redemption value. Purchases of credits are non-refundable. They can only be spent through LaughSwap Hits In, and will only be available for sites meeting our criteria. We will provide best-efforts to deliver visitors to you in a timely fashion, but cannot guarantee a particular rate of traffic.

15. Transferability: LaughSwap accounts and credits are not transferable, and cannot be sold or traded. Any attempts to circumvent this rule will result in account termination and forfeiture of credits. Exceptions to this rule may be made at our discretion.

16.a. Earned PREMIUM Membership: Earned PREMIUM Membership is a user status that is achieved when the LaughSwap Partner purchases 1,000,000 cumulative credits. Once PREMIUM Membership is acquired via accumulated credits, the PREMIUM Membership status is retained for the life of the Partnership.

16.b. Introductory PREMIUM Membership: Introductory PREMIUM Membership is being offered as a FREE Introductory Incentive for ALL accounts activated prior to November 30, 2006. A member achieving PREMIUM Membership via the Intoductory offer may be demoted to a REGULAR Membership if the account remains inactive for a 90 continuous days. Exceptions to this rule may be made at our discretion.

17. Governing Law: This Agreement will be governed by the laws of the United States and the State of Florida. Any action relating to this Agreement must be brought in the courts located in Broward County, Florida and You irrevocably consent to the jurisdiction of these courts.
